Mr. Ashman’s practice focuses primarily on corporate and commercial litigation in the Delaware Court of Chancery, including class and derivative actions relating to mergers, acquisition transactions, tender offers and takeover disputes.  His experience includes litigation relating to the internal governance of Delaware corporations, limited partnerships, and other alternative entities and the fiduciary duties of their directors and officers, as well as statutory proceedings brought pursuant to Delaware’s General Corporation Law.  Bert has also represented clients in the United States District Court for the District of Delaware as well as on appeal before the Delaware Supreme Court.  In connection with his litigation practice, Bert also advises directors, officers, and stockholders on their rights and obligations under Delaware law.

Bert has extensive experience in the Delaware Court of Chancery, often in expedited litigation involving the pursuit of injunctive relief, and has been involved in matters that have resulted in significant corporate law decisions.  Representative cases include Air Products and Chemicals, Inc. v. Airgas, Inc.; eBay, Inc. v. craigslist, Inc.; Prizm Group, Inc. v. Anderson; and In re Affiliated Computer Services, Inc. Shareholder Litigation.
