Mr. Feldman is a partner in the firm's Business practice group and is also the firm's Hiring Partner. Mr. Feldman practices in the areas of alternative entities and general business, focusing primarily on organizational and operational issues relating to the utilization of Delaware alternative entities, such as limited liability companies, general and limited partnerships, statutory trusts and special purpose corporations, in all types of business and commercial transactions, including mergers and acquisitions, joint ventures, securitizations, structured finance, investment and hedge funds, financing and real estate transactions involving special purpose bankruptcy-remote vehicles, public and private offerings, trust preferred securities transactions and Tier 1 capital transactions.
Mr. Feldman also advises clients relating to the structuring and restructuring, including through mergers, conversions, transfers and domestications of entities, of business and commercial transactions.
Mr. Feldman's practice often involves authoring opinion letters and providing advice on matters relating to Delaware entities, including the formation, operation, dissolution and winding-up of such entities, the duties, fiduciary and otherwise, of general partners, managers, directors and trustees of such entities, and the perfection of security interests under the Delaware Uniform Commercial Code in and by such entities.
