Ms. Houston is an associate in the firm's Business practice group and practices in the areas of alternative entities and general commercial transactions.  Her practice focuses primarily on organizational, structural, operational and governance issues relating to alternative entities, such as limited liability companies, general and limited partnerships, statutory trusts and special purpose corporations, and their utilization in a wide range of domestic and cross-border structured finance transactions, securitizations and other commercial transactions, including mergers and acquisitions, joint ventures, investment and hedge fund transactions and public and private offerings.  Ms. Houston's practice also includes representing financial institutions, trust companies and service providers in all types of commercial and financial transactions.  Her practice often involves providing advice and third party legal opinions on issues relating to Delaware entities, the perfection of security interests under the Delaware Uniform Commercial Code and other matters of Delaware law.

Professional Activities

  • Ms. Houston is a member of the American Bar Association. She currently serves as Vice Chair of the ABA Model Single Member Limited Liability Company Operating Agreement Task Force. Ms. Houston also is a member of the ABA Section of Business Law's Committee on Legal Opinions, and coordinates updates to the Legal Opinion Resource Center, a web site co-sponsored by the Legal Opinions Committee and the TriBar Opinion Committee. Ms. Houston formerly served as Chair of the Subcommittee for Young Lawyer and Law Student Involvement for the ABA Section of Business Law. She also formerly served as liaison for the ABA Section of Business Law to the ABA Section Officers Conference Outreach to Law Students Committee. Ms. Houston was a member of the ABA Section of Business Law Advance II Membership/Member Services Subcommittee.
