Biography

Michael D. Goldman, a retired Potter Anderson partner, practiced primarily in the corporate counseling and corporate litigation areas. He was regularly called to provide advice and formal opinions as to the advisability, propriety and legal consequences of proposed decisions, transactions, and business combinations under Delaware law.

In litigation matters, his practice focused primarily on the fiduciary relationship between Delaware business entities and their owners and managers, particularly in connection with mergers, tender offers, proxy contests, and other transactions involving changes of corporate control.

Michael served as Chair of the firms' Executive Committee from 1999 to 2005.
