Grossbauer Quoted in Financial Times Mandate Regarding Delaware Corporate Law September 1, 2008
In a recent Financial Times Mandate article featuring Delaware as the juristiction of choice for the majority of domestically-managed hedge funds, private equity funds and corporations, John Grossbauer, a partner in Potter Anderson's Corporate Group, was quoted as saying, "These amendments reflect Delaware's continued commitment to maintain those statutes which govern Delaware corporate entities, effectively serving the business needs of the US and international business communities." Mr Grossbauer was recently involved in the CNET Networks vs Jana Partners case, where the latter, a Delaware-domiciled hedge fund, sought to nominate directors to the CNET board, with a view of mounting a takeover for the online company. A Delaware court ruled that Jana Partners could nominate directors without violating the company's corporate bylaws. "The courts came down on the side of shareholders' right to nominate," says Mr Grossbauer.
