John Grossbauer Comments on Trados Inc. Deal October 2, 2009
A story published in The Deal and written by reporter David Marcus discusses the duties to common stockholders versus other constituencies taking on renewed relevance in Delaware law, in particular as they relate to the sale of Trados Inc. to SDL plc, where Chancellor Chandler found that "the interests of the preferred and common stockholders were not aligned with respect to the decision of whether to pursue a sale of the company." John commented on the caution to be taken in a deal where the common stockholders receive nothing in the sale and the difficulty of proving fairness.
