Morton Weighs in on Blockchain’s Impact on Corporate Law and M&A

At the ABA Business Section’s annual meeting in Chicago, partner Mark Morton, chair of the Mergers and Acquisitions Committee, moderated a program titled "Blockchain: How the Technology Behind Distributed Ledgers Will Impact Corporate Law and M&A Practice." The panel discussed how distributed ledgers will impact M&A diligence, M&A agreements and payment procedures (merger consideration, escrows, appraisal, etc.) and addressed the longer-range impact of blockchain and distributed ledger on proxy plumbing, settlement procedures and stockholder activism.The panel included Vice Chancellor Travis Laster of the Delaware Court of Chancery, Caitlin Long, chairman and president of Symbiont, and Andrea Tinianow, director of the Delaware Blockchain Initiative.
