Alternative Entities Litigation
Increasingly, the courts of Delaware are called upon to decide disputes involving Delaware alternative entities—general partnerships, limited partnerships, limited liability partnerships, limited liability limited partnerships, limited liability companies, statutory and common law trusts, and special-purpose corporations. Our attorneys have substantial experience with such disputes and have been involved in many of the most important alternative entity cases in recent years.
Attorneys arbitrate and litigate matters relating to breaches of fiduciary duties, management contests, deadlock disputes, judicial dissolutions and general breaches of contract relating to the underlying organizational documents of the entity.
Taking leadership roles in Delaware, attorneys in this practice area serve on the committee of the Delaware State Bar Association that is responsible for monitoring and proposing amendments to the Delaware Revised Uniform Partnership Act, the Delaware Revised Uniform Limited Partnership Act, and the Delaware Limited Liability Company Act.
Advised an oil and gas exploration and production company on highly complex matters of Delaware limited partnership law relating to a law suit filed by the company in Texas alleging, among other things, that the company was fraudulently induced into making multimillion dollar contributions to and that its voting and other rights were subsequently changed in contravention of Delaware law.
