Davey and Ronan Present on Chancery Court’s Opinion in Palisades Case

Brad Davey and Alyssa Ronan were presenters for “Founder Coup Averted on Equitable Grounds: The Palisades Case,” an ABA program about the Delaware Court of Chancery's recent opinion in Palisades Growth Capital II, L.P. v. Backer and Backer and QLESS, INC. Presented by the Private Equity and Venture Capital Committee of the ABA’s Business Law Section, this CLE program examined lessons learned regarding the formalities required to properly fill vacant board seats as well as the equitable principles that formed the basis of the court’s decision.

Davey’s practice focuses primarily on business, corporate and alternative entities litigation in the Delaware Court of Chancery. He frequently advises directors, acquirers and financial advisors in connection with mergers and acquisition litigation. In addition, he has substantial experience litigating and providing advice regarding various proceedings under the Delaware General Corporation Law, including appraisal, advancement and indemnification, books and records demands, and director election contests. Davey has also assisted companies from a wide range of industries with special investigations of alleged improper conduct.

Ronan’s practice focuses on corporate advisory, corporate governance and transactional matters relating to Delaware corporations and alternative entities. She regularly counsels investors, boards of directors and board committees in situations involving conflicts of interest and fiduciary duty issues, including charter and bylaw amendments and M&A transactions. She also renders opinions and written advice on a variety of matters arising under the Delaware General Corporation Law as well as the governing documents of Delaware corporations and alternative entities.
