Millard Presents on Hot Topics in Delaware Corporate Law

Partner Pam Millard was a panelist at the Delaware State Bar Association’s “Hot Topics in Delaware Corporate Law” CLE program on May 23. The panel, which included notable litigators and transactional attorneys as well as a member of the Delaware Supreme Court, discussed recent statutory and case law developments in Delaware’s corporate law. The topics addressed included MFW and Corwin, appraisal, broken deal litigation, how to use new series provisions in LLC and LPs, developments relating to e-signatures, and an update on fiduciary duty issues.

Millard advises clients regarding all aspects of the Delaware General Corporation Law and the governance of Delaware corporations. She regularly counsels corporations, directors, and board committees regarding transactions such as mergers, recapitalizations, assets sales, dividends, charter and bylaw amendments and preferred stock designations. She also authors opinion letters on a wide range of Delaware corporate law matters. In addition, she has substantial experience advising Special Committees and Conflict Committees in connection with various conflict transactions, including M&A transactions.
