Partner Mike Maxwell co-presented a CLE Webinar hosted by BARBRI that examined drafting limited liability company (LLC) operating agreement provisions pertaining to member and manager fiduciary duties under Delaware Law versus the Revised Uniform Limited Liability Company Act (RULLCA). The presentation provided LLC counsel with guidance covering key issues including critical duties of managers and members in LLC operating agreements, contractual modifications, best practices for drafting provisions that modify or limit statutory or common law duties, and strategies for drafting exculpatory, limitation of liability, and indemnification clauses.
