Ronan and Lyons Discuss the Latest Developments in Private Equity and Venture Capital Law

Potter Anderson attorneys Alyssa Ronan and Garrett Lyons will discuss recent developments in private equity and venture capital law at the ABA Business Law Section’s Spring Meeting in Orlando, Florida. The discussion will feature the latest in private equity and venture capital law and breaking law developments on the fiduciary duties of controlling stockholders. Other topics include the latest developments on class voting rights, disparate treatment of stockholders and the enforcement of stockholder agreements.

The discussion will be hosted by the Private Equity and Venture Capital Jurisprudence Subcommittee. Potter Anderson partner Alyssa Ronan vice chairs the subcommittee.

Ronan’s practice focuses on corporate advisory, corporate governance, and transactional matters relating to Delaware corporations and alternative entities. She regularly counsels boards of directors, board committees (including special, transaction and conflicts committees), and investors on M&A matters, governance matters, and situations involving conflicts of interests and fiduciary duty issues. She also renders opinions and written advice on a variety of matters arising under the Delaware General Corporation Law, as well as the governance documents of Delaware corporations and alternative entities.

Lyons focuses his practice on counseling Delaware corporations on corporate law and governance issues. He also works with buyers and sellers in negotiated acquisitions and divestitures.
