Potter Anderson Advises Special Committee of The Baldwin Insurance Group, Inc. in $7.7 Billion Take-Private Transaction
The Baldwin Insurance Group, Inc. (NASDAQ: BWIN) announced that it has entered into a definitive agreement pursuant to which an entity formed by Sequence Holdings and DFO Management, the Dell Family Office, will acquire a majority interest in Baldwin in an all-cash transaction valued at approximately $7.7 billion. Under the terms of the agreement, Baldwin stockholders will receive $32.50 per share in cash. Upon completion of the transaction, Baldwin will become a privately held company.
The transaction was unanimously approved by Baldwin's Board of Directors following the unanimous recommendation of a Special Committee comprised of independent and disinterested directors. The transaction is expected to close in the first quarter of 2027, subject to stockholder approval, regulatory approvals and other customary closing conditions.
