Barrist and O’Toole Discuss Impact of Delaware LLC Act Amendments on Real Estate Deals

Partners Joy Barrist and Matt O’Toole presented a webinar titled “Recent Delaware LLC Act Amendments: What You Need to Know for Your Real Estate Deal.” The program, sponsored by the ABA’s Section of Real Property, Trust and Estate Law, covered the recent amendments to the Delaware Limited Liability Company Act, including division of an LLC and creation of a registered series. Other topics included:

  • How these new tools affect real estate deals
  • What do borrower, lenders, owners and investors need to know
  • How these structures affect title insurance

Barrist offers a full range of commercial real estate law services involving the finance, acquisition, sale, lease and development of complex multimillion-dollar real estate projects throughout Delaware, around the country and internationally. She regularly represents banks and lending institutions, private equity firms, investors, developers, owners, landlords, and tenants.

O'Toole concentrates his practice on corporate and commercial transactions, particularly the structure and use of Delaware business entities, including corporations, limited liability companies, partnerships (general and limited) and statutory trusts. He is co-author of Symonds & O'Toole on Delaware Limited Liability Companies, published by CSC/LexisNexis. His articles on amendments to Delaware’s corporate and alternative entity statutes and the Delaware UCC are published regularly in CSC’s Delaware Laws Governing Business Entities and he is author of the “Delaware Limited Liability Company Practice Guide,” in State Limited Liability Company & Partnership Laws (Aspen Law & Business).
