Davey Moderates Delaware Judicial Panel on Mergers & Acquisitions

At Practising Law Institute’s Mergers & Acquisitions 2021: Advanced Trends and Developments conference, partner Brad Davey co-moderated a panel discussion with three vice chancellors of the Delaware Court of Chancery: Hon. Kathaleen St. J. McCormick, Hon. Joseph R. Slights III and Hon. Morgan T. Zurn.

Discussion topics included:

  • Significance of the stage of proceedings (expedited discovery, TRO/PI, motion to dismiss, summary judgment)
  • Things plaintiffs and defense lawyers do and don’t do well
  • Framing the case
  • Two or three best arguments
  • Significance of type of ruling (oral, order, letter opinion, memorandum opinion, opinion)

Davey's practice focuses primarily on business, corporate and alternative entities litigation in the Delaware Court of Chancery. He frequently advises directors, acquirers and financial advisors in connection with mergers and acquisition litigation. In addition, Davey has substantial experience litigating and providing advice regarding various proceedings under the Delaware General Corporation Law, including appraisal, advancement and indemnification, books and records demands, and director election contests. He has also assisted companies from a wide range of industries with special investigations of alleged improper conduct.
