Fischer Discusses Redstone/CBS Case at M&A, Antitrust and the Board Room Conference
Partner Matt Fischer was a panelist at the 5th annual M&A, Antitrust and the Board Room Conference hosted by Cleary Gottlieb and the Berkeley Center for Law and Business in San Francisco. This year’s conference focused on challenges and conundrums for the West Coast.
Fischer discussed what the recent Redstone/CBS case means for the future of controlled companies, dual-class and independent directors. He led Potter Anderson’s team in its representation of National Amusements and Shari Redstone in litigation with CBS over a proposed dilutive dividend.
Fischer primarily practices in the areas of corporate, commercial and alternative entities litigation. He also advises directors regarding M&A related litigation, internal investigations, shareholder derivative suits and class actions. In addition, he has represented corporations and/or directors in takeover disputes, corporate injunctive proceedings, appraisal actions, advancement / indemnification suits, and litigation arising under various sections of the Delaware General Corporation Law.
