Leavengood Presents on Corporate Governance Essentials of Taking Minutes

Tyler Leavengood was a panelist at the Essentials for Corporate Governance seminar hosted by the Society for Corporate Governance in Orlando, Fla. He presented on key aspects of taking minutes, including required elements, protecting privilege, and review by auditors and regulators.

Leavengood, a partner in the firm’s Corporate Group, focuses primarily on corporate and commercial litigation in the Delaware Court of Chancery, which includes experience in litigating stockholder class and derivative actions, as well as actions for appraisal, indemnification, and inspection of books and records. He also has experience in counseling boards of directors and special board committees of Delaware corporations with respect to issues of fiduciary duty and internal corporate governance.

The Society for Corporate Governance is a nonprofit organization for corporate secretaries and business executives in governance, ethics and compliance functions at public, private and not-for-profit organizations. Members are responsible for supporting their board of directors and executive management in matters such as board practices, compliance, regulation and legal matters, shareholder relations and subsidiary management.
