Millard, Ronan and Lyons Discuss Recent Developments in Private Equity and Venture Capital Law

Potter Anderson attorneys Pamela Millard, Alyssa Ronan and Garrett Lyons will discuss recent developments in private equity and venture capital law at the ABA Business Law Section’s Fall Meeting. The discussion will feature a recent decision, New Enterprise Associates 14 LP v. Rich, addressing the validity of covenants not to sue contained in drag-along provisions, as they pertain to claims for breach of fiduciary duty. Other cases addressing privilege and information rights of designated directors and stockholders and fiduciary duty issues for controlling stockholders, directors and creditors in exit transactions will also be discussed.

The discussion will be hosted by the Private Equity and Venture Capital Jurisprudence Subcommittee. Potter Anderson partner Alyssa Ronan vice chairs the subcommittee.

Millard advises clients regarding all aspects of the Delaware General Corporation Law and the governance of Delaware corporations. She regularly counsels corporations, nonstock nonprofit corporations, directors, and board committees regarding transactions such as mergers, recapitalizations, assets sales, dividends, entity formation and dissolutions, charter and bylaw amendments and preferred stock designations. She also authors opinion letters on a wide range of Delaware corporate law matters, including cross-border domestication and expert opinions. In addition, Pam has substantial experience advising Special Committees and Conflict Committees in connection with various conflict transactions, including M&A transactions, and she represents Special Litigation Committees in connection with stockholder derivative claims.

Ronan’s practice focuses on corporate advisory, corporate governance, and transactional matters relating to Delaware corporations and alternative entities. She regularly counsels boards of directors, board committees (including special, transaction and conflicts committees), and investors on M&A matters, governance matters, and situations involving conflicts of interests and fiduciary duty issues. She also renders opinions and written advice on a variety of matters arising under the Delaware General Corporation Law, as well as the governance documents of Delaware corporations and alternative entities.

Lyons focuses his practice on counseling Delaware corporations on corporate law and governance issues. He also works with buyers and sellers in negotiated acquisitions and divestitures.
