Millard and Ronan Discuss Latest Legal Issues for Venture Capital Investors at ABA Business Law Annual Meeting
At the ABA Business Law Section’s Annual Meeting, Pam Millard and Alyssa Ronan discussed the latest legal issues for venture capital investors, including litigation over portfolio company investments and guidance for drafting more effective preferred stock financing documents.

A partner in Potter Anderson’s corporate transactions practice, Millard advises clients regarding all aspects of the Delaware General Corporation Law and the governance of Delaware corporations. She regularly counsels corporations, directors, and board committees regarding transactions such as mergers, recapitalizations, assets sales, dividends, charter and bylaw amendments and preferred stock designations. She also authors opinion letters on a wide range of Delaware corporate law matters. In addition, Millard has substantial experience advising Special Committees and Conflict Committees in connection with various conflict transactions, including M&A transactions.
Ronan’s practice focuses on corporate advisory, corporate governance and transactional matters relating to Delaware corporations and alternative entities. She regularly counsels investors, boards of directors and board committees in situations involving conflicts of interest and fiduciary duty issues, including charter and bylaw amendments and M&A transactions. Ronan also renders opinions and written advice on a variety of matters arising under the Delaware General Corporation Law, as well as the governing documents of Delaware corporations and alternative entities.
