Walsh Discusses Governance of Distressed Multi-State Corporate Groups

Partner Pete Walsh, chair of Potter Anderson’s corporate practice, was a panelist at the spring meeting of the American Bar Association’s Business Law Section in Vancouver on March 30. The panel, co-sponsored by the Business Bankruptcy Committee and the Corporate Governance Committee, was titled “Fiduciary Dodgeball: Governance of Distressed Multi-State Corporate Groups.”

The panel’s topics included:

  • Considerations for advising board members who serve on multiple boards of related entities that are incorporated in different states
  • Forum selection for initiating a chapter 11 proceeding
  • Issues arising in breach of fiduciary duties lawsuits or other proceedings

Walsh, a corporate and commercial litigator, regularly handles Delaware Court of Chancery proceedings, including stockholder class and derivative actions, summary proceedings pursuant to the General Corporation Law, and disputes involving alternative entities. He also frequently counsels officers, directors, and committees of the board in matters of Delaware corporate law, primarily as such matters bear upon ongoing or anticipated litigation.
