Potter Anderson Serves as Counsel in Quest Software’s $2 Billion Going Private Deal

Potter Anderson & Corroon served as counsel to a special committee of Quest Software in its agreement to be acquired and taken private by New York-based venture capital and private equity firm, Insight Venture Partners. The deal, expected to close this fall, is valued at $2 billion and will give shareholders $23 a share in cash. The special committee, composed of three Quest directors, will oversee a 60-day “go shop” period to consider outside bids. The Potter Anderson team was lead by partner Mark Morton and included partner T. Brad Davey and associates Pamela L. Millard and David B. DiDonato. The attorneys will continue to provide counsel to the committee during the go shop period.
