Five Partners Named to 2022 Lawdragon 500 Leading Dealmakers in America

Five Potter Anderson partners — Roxanne Houtman, Mark Morton, Mike Pittenger, Myron Steele and Michael Tumas — have been named to the 2022 edition of Lawdragon 500 Leading Dealmakers in America. The guide highlights top practitioners in M&A, capital markets, finance, tax, corporate governance, private equity, investment funds and securities matters.

Houtman’s practice involves counseling Delaware corporations on corporate law and governance issues. She also represents buyers and sellers in negotiated acquisitions and divestitures. She is a member of the Council of the Corporation Law Section of the Delaware State Bar Association and, in that capacity, participates in the annual review of, and preparation of amendments to, the Delaware General Corporation Law. Houtman is noted in the guide’s Corporate, M&A and Delaware Law categories.

Morton’s practice involves corporate counseling, governance and opinion work. He regularly advises clients regarding all aspects of the Delaware General Corporation Law, governance of Delaware corporations, and fiduciary obligations, both in the context of daily business affairs and with respect to mergers, acquisitions and other corporate transactions. He also authors opinion letters on a wide range of matters of Delaware corporation law. In addition, he frequently is engaged to serve as counsel to Special Committees and Conflicts Committees in connection with various conflict transactions, including M&A transactions. Pittenger advises clients regarding all aspects of the Delaware General Corporation Law and the governance of Delaware corporations. He routinely counsels corporations, directors, and board committees regarding transactions such as mergers, recapitalizations, reorganizations, asset sales, dividends, stock repurchases, charter and bylaw amendments, preferred stock designations, and dissolutions. He also authors opinion letters on a wide range of Delaware corporate law matters. Pittenger is noted in the guide’s Corporate, M&A and Delaware Law categories.

Steele, the former Chief Justice of the Supreme Court of Delaware, is a partner in the firm's Corporate Litigation Group. Previously, he served as a Judge of the Superior Court and a Vice Chancellor of the Delaware Court of Chancery after eighteen years in private litigation practice. He has presided over major corporate litigation and LLC and limited partner governance disputes and writes frequently on issues of corporate document interpretation and corporate governance. Steele is noted in the guide’s Corporate Governance category.

Tumas concentrates his practice in the area of corporate law with specific emphasis on mergers and acquisitions, issues of internal governance, and commercial transactions involving Delaware corporations and other business entities. His practice often involves counseling boards of directors and special committees of boards of directors regarding their duties, fiduciary and otherwise. In addition, he advises clients with respect to responding to unsolicited acquisition proposals, stockholder activist approaches and other preparedness matters, board governance and other corporate law matters. Tumas is noted in the Corporate, M&A and Corporate Governance categories.
