Evan Hockenberger

Biography

Evan W. Hockenberger’s practice involves counseling management, boards, and special committees of Delaware corporations on corporate law and governance issues, as well as representing buyers and sellers in negotiated acquisitions, divestitures, and other strategic transactions. He also advises clients on matters of Delaware law involving alternative entities, including early-stage investment and private equity transactions.

While in law school, Evan served as the Robinson O. Everett Sr. Judicial Fellow to the Honorable David T. Lambeth on the North Carolina Superior Court, and Attorney General of the Graduate Schools at the University of North Carolina – Chapel Hill.

  • Lead counsel to Delaware nonprofit in restructuring and divestiture of assets
  • Delaware counsel to a minority founder of a joint venture corporation in connection with bringing in additional investors to the joint venture
  • Seller’s counsel to aeronautics supplier in their acquisition by a private equity buyer
  • Counsel to an agricultural products wholesaler in a sale of a majority interest to a private equity firm
  • Counsel to an international health investment fund in connection with their US domestication and consolidation
