Jacqueline Rogers


Jacqueline A. Rogers, a partner in the firm’s Corporate Litigation Group, represents companies and their management and boards in high-stakes mergers and acquisitions litigation, corporate and stockholder disputes, and complex commercial litigation in the Delaware Court of Chancery. She also has substantial experience litigating and providing advice concerning various statutory proceedings under the Delaware General Corporation Law, such as indemnification and advancement suits, stockholder appraisal actions, dissolution proceedings, litigation involving contested director elections, and books and records demands.

Jacqueline is an Executive Editor of the highly regarded Corporate and Commercial Practice in the Delaware Court of Chancery (Lexis Law Publishing), which is recognized as a leading authority on Delaware corporate and commercial practice and has been cited by the Delaware courts in approximately 500 published opinions.

Jacqueline is a member of the firm’s Diversity & Inclusion Committee and Associates Committee. She also has an active pro bono practice, representing victims of domestic violence through the Delaware Volunteer Legal Service’s Protection from Abuse Program.

  • Former directors of IDEV Technologies, Inc. in successful dismissal of breach of fiduciary duty claims (Sheldon v. Pinto Technology Ventures, C.A. No. 2017-0838-MTZ (Del. Ch. Jan. 25, 2019) (V.C. Zurn))
  • National Amusements Inc. (NAI), Shari Redstone, and Sumner Redstone in a favorable settlement against CBS Corporation and certain members of its board of directors concerning CBS’s attempt to dilute NAI’s voting control of CBS
  • Kindred Healthcare, Inc. in successfully defeating a motion for preliminary injunction in connection with its merger with TPG, Humana, and Welsh, Carson
  • Gordon Ramsay in successful petition to dissolve and wind up GR Burgr, LLC (In re GR BURGR, LLC, C.A. No. 12825-VCS (Del. Ch. Aug. 25, 2017) (Slights, V.C.))
  • Simmons & Co. International in class action litigation alleging that the investment bank aided and abetted a special committee’s breach of fiduciary duty in approving related-party transaction
  • Bob Evans Farms, Inc. in response to books and records demand
  • Simon Property Group in commercial litigation relating to joint venture projects
  • Lorillard, Inc. and its board in class action litigation related to Reynolds American Inc.’s acquisition of Lorillard
  • Alpha Natural Resources in successful defense of class action litigation concerning its acquisition of Massey Energy Company (In re Massey Energy Company Derivative and Class Action Litigation, C.A. No. 5430-CB (Del. Ch. May 4, 2017) (C. Bouchard))
  • National Amusements Inc. in litigation concerning a contested election of Viacom directors and amendments to Viacom’s bylaws
  • Gentiva Health Services, Inc. in class action litigation related to Kindred Healthcare, Inc.’s acquisition of Gentiva and related stockholder appraisal action
