Biography
Ryan M. Crowley is a trial lawyer who focuses his practice on corporate and commercial litigation in Delaware’s state courts. He represents boards of directors, companies, and stockholders in a wide range of matters before the Delaware Court of Chancery, including books and records actions, statutory proceedings under the Delaware General Corporation Law, and post‑closing earnout disputes. Ryan also assists in litigating complex corporate cases involving fiduciary duty claims, governance disputes, and business transactions.
Before joining the firm, Ryan served as a law clerk for the Hon. Magistrate Bonnie David of the Delaware Court of Chancery and the Hon. Resident Judge Jeffrey J Clark of the Delaware Superior Court.

- Unknown Worlds Entertainment in obtaining a ruling enforcing founders’ right to advancement for litigation expenses arising from claims brought by Unknown Worlds, their former employer, including the successful rebuttal of defenses to advancement and securing prompt payment under the relevant indemnification agreements.
- Sage Therapeutics, Inc. in successfully enforcing a standstill provision in a stock purchase agreement through expedited proceedings in the Delaware Court of Chancery, resulting in a temporary restraining order enjoining Biogen from making public acquisition proposals for Sage.
