Potter Anderson Advises Kimbell Royalty Partners Conflicts Committee in $215.4M Drop Down Acquisition

Kimbell Royalty Partners, LP (NYSE: KRP), a leading owner of oil and gas mineral and royalty interests, has announced the acquisition of certain oil and gas royalty interests from affiliated sellers for approximately $215.4 million in cash and equity interests in Kimbell Royalty Operating, LLC and Kimbell Royalty Partners.

The acquired assets include approximately 2,568 net royalty acres located in key producing regions across the Eagle Ford, Permian, Mid-Con and Appalachian basins. The transaction is expected to close on or around August 21, 2026, subject to the satisfaction of customary closing conditions.

The transaction was approved by both the Conflicts and Compensation Committee of the Board of Directors of Kimbell Royalty Partners’ general partner (the “Conflicts Committee”) and the Board of Directors of Kimbell Royalty Partners’ general partner.
