Biography
Ciara Sprance advises clients on a wide range of Delaware corporate and alternative entity matters, focusing on governance questions and the practical issues related to structuring transactions. Much of her work centers on working with companies, boards, managers, and investors to understand how Delaware law applies to their entities, guiding them through both day-to-day legal issues and transformative strategic opportunities, including complex mergers and acquisitions, asset deals, equity purchases, and internal reorganizations.
A cornerstone of Ciara’s practice involves delivering Delaware legal opinions in connection with major financing and commercial transactions, both domestic and cross-border. She regularly handles authority, due authorization, and enforceability opinions for complex, multi-party structures.
Ciara also works closely with the firm’s Bankruptcy and Corporate Restructuring Group. In that role, she advises on the unique governance and transactional challenges inherent in distressed situations, including to facilitate out‑of‑court restructurings, asset sales, and auction processes. She helps clients navigate the recalibration of fiduciary duties and contractual rights and obligations that occurs during insolvency. She also collaborates with litigation teams on complex disputes involving LLC and partnership agreements and other alternative entity governance matters.
Before joining the firm, Ciara served as a judicial extern for Chief Magistrate Judge Mary Pat Thynge of the United States District Court for the District of Delaware.
